A. Terms of Payment

1. 4K Ventures Inc. (4K) at its sole discretion will decide whether or not to extend credit terms to customers based on credit checks and periodic credit assessments.

2. When credit is extended to customers, the following credit terms apply:

a) Payment must be received at 4K office within 30 days of the date of shipment of product from our warehouse
b) Interest on all accounts outstanding in excess of 30 days can be assessed an interest charge at the rate of 2% per month on the outstanding balance.
c) Monthly statements of account will be issued at our discretion.

B. Conditions of Sale

1. Selling price and currency

a) All selling prices and estimates are in Canadian Dollars unless specified otherwise. PST and GST will be added to each invoice as an extra.

2. Freight

a) All shipments are FOB 4K unless specified.

b) In the event that 4K pays shipping, negotiated as a condition of sale, transfer of title to the customer for product will be deemed to have occurred at the 4K shipping dock and any/all claims for shipping damage will be the responsibility of the customer to settle with the carrier.  The freight carrier is the agent of the customer.

3. Delivery Date

a) The delivery date as stated on 4K confirming Sales Order will be the date 4K schedules as the delivery date to the customer’s dock.

b) The customer requires written agreement from 4K to either shorten or extend a delivery date.

c) In the event that 4K agrees to shorten or extend a delivery date, the customer will be held responsible for all additional expense to 4K.

4. Special Order Material and Product

a) Payment in full as advised by 4K will be required from customer in advance of 4K placing a special material or product order with an 4K vendor.

b) A confirmed purchase order with 4K must be in place prior to 4K ordering in special order material or product for a customer.

c) All special-order material and product are non-returnable and non-refundable except under any warranty provisions accruing to the material or product from the original manufacturer or dealer

5. Return of Material and Product (Return Goods Allowance – RGA)

a) Without exception, no material or product purchased from 4K is returnable to 4K without prior confirmed and written approval by 4K.

b) Upon approval and return, 4K reserves the right at its sole discretion to either replace or refund the purchase price of the returned item(s).

c) 4K liability on any material or product returned to 4K will be limited to either the replacement of such material or product or to the refund of the purchase price and does not extend to any other monetary or operational inconvenience or expense experienced by the customer or third parties.

d) All material and product approved by 4K for return to 4K are subject to a restocking fee of 25% of the original invoice selling price plus a return administration fee of $125.00 for each return.

6. Claim Period

a) Customers must notify 4K promptly in writing in 7 days of our date of invoice of any anticipated claim arising out of shipping, quality, and tolerance or specification deficiencies on any material or product purchased from 4K.

b) 4K will make every attempt to confirm customers’ claim procedures and process within 24 hours of a pending claim notification being received.

c) 4K will not accept or consider any claim made by a customer in excess of 30 days from receipt of shipment.

C. Warranty

a) Standard 4K warranty on material and product provides that 4K will warrant that the material or product will be free of material component defects at the manufacturer’s level and 4K workmanship level subsequently applied to material at 4K production facilities when required to provide value added finished product to meet tolerances and specifications set out in the original purchase order and subsequently negotiated and approved change notices to the original purchase order initiated by the customer.

b) 4K will not warrant any 4K supplied material or product that was installed by the customer’s own employees or third party installation contractors.

c) 4K will not warrant any material or product damage or non-performance that in 4K sole discretion resulting from, but not limited to, improper storage, misuse, misapplication, abuse, neglect and poor or inadequate maintenance practice.

d) 4K will not warrant any material or product and resolves itself from all liability arising to changes or alterations made by either the customer or a third party to any 4K supplied material or product without written authorization from 4K.

e) In the event that the condition of the material or product supplied by 4K are proven to be defective or fail to conform to the customer specifications set forth in the original purchase order, 4K liability, at its sole discretion, will be limited to either replacement or refund of the purchase price.

f) As a condition of sale, 4K will have no other direct or indirect liability for non-performance of material, product or management nor for any subsequent and consequential purchaser or third party losses or damages of any kind whatsoever other than any 4K conditions of sale and warranty statements set out above.
